The following are The Nut Machine Company Pty Ltd Standard Terms and Conditions.

Any modification or adjustments to this Terms and Conditions will be advice in written by The Nut Machine Company Pty Ltd and will follow a signed agreement.

1. CONDITIONS OF SALE

1. Acceptance of Terms

By accepting a quotation and/or placing an order with The Nut Machine Company Pty Ltd, the clients acknowledge and agrees to be bound by these terms and conditions.

2. Contracts
  1. Written confirmation of all required documentation such as any certificates, technical information or to sign client’s procurement contract or agreements must be advised when the enquiry or quotation is provided by The Nut Machine Company Pty Ltd.
  2. When applicable any contracts or agreements must be finalized and duly signed before any orders are placed.
3. Order Cancellation

Once an order is in process or manufacturing has commenced, it cannot be cancelled.

 4. Exclusions in Quotation
  1. Unless otherwise stated in writing, quotations exclude Vat (South Africa) and costs related to delivery, freight charges, crating, insurance, commissioning, and installation.
  2. On site installations exclusions will be for any main supply cables, cable ladders and trunking.
  3. Crane, forklift or lifting equipment requirements, civils, ground work or any building.
  4. Installation of light or ventilation in building, other than specified.
 5. Liability for Installation and Commissioning

The Nut Machine Company Pty Ltd and its installation team shall not be held liable for component mismatches, malfunctions, or operational issues unless both commissioning and installation are performed by our qualified personnel.

 6. Special Manufacturing and Design (Not subjected to our standard range of machinery)
  1. All special manufacturing and design work are carried out in accordance with the clients’ specifications and understanding.
  2. Final drawings and scope of work need to be signed by client before work can start.
  3. The Nut Machine Company Pty Ltd shall not be liable for misinterpretations or design inaccuracies resulting from incomplete or unclear specifications provided by the client.
 7. Additional Work or Materials

Quotations include only the items and services specifically listed. Any additional work, parts, or materials requested after acceptance of the quotation will be subject to a separate written quotation, approval, and deposit payment before execution.

 8. Installation and Delivery
  1. Installation and/or delivery services are provided only when included in the quotation.
  2. Any modifications or additions to the agreed scope of work will be charged to the client.
  3. Client must have personal ready to assist with all deliveries.
 9. Clients Responsibility for Materials or Machinery
  1. Once materials or machinery are delivered to the client’s premises or site, the client assumes full responsibility for their safekeeping.
  2. The client must ensure that all materials are properly protected from weather conditions, fire, theft, and any other potential damages.
  3. Any losses incurred after delivery will be for the client account.
 10. Site Assistance

During work on client’s premises or project sites, a supervisor or authorized representative must be available to assist The Nut Machine Company Pty Ltd team as needed.

 11. Retention of Ownership

Ownership of all materials, equipment or machinery supplied shall remain with The Nut Machine Company Pty Ltd until full payment has been received and cleared.

 12. Disputes, Credit, and Returns

In the event of a dispute, credit, or return claim, the total claim value shall not exceed the amount stated on the original invoice or payments made to The Nut Machine Company Pty Ltd.

 13. No Refunds on Specially Manufactured Machines

Machines manufactured to client specifications are non-refundable at any stage of the process.

 

2. TERMS OF PAYMENT

  1. Payment: 100% payment is required upon order confirmation or as specified in the quotation.
  2. Work commences only after deposit received, or as specified in quotation,  as well of signing of the final agreement only on Special Manufacturing and Designs.
  3. No work is performed on Sundays.

 

3. ORDERS

  1. Placing an order with The Nut Machine Company Pty Ltd implies acceptance of these terms and conditions.

 

4. AVAILABILITY & DELIVERY

  1. Normal delivery time is approximately 4 to 10 working weeks from manufacture, subject to receipt of materials, prior sales, and deposit payment unless otherwise specified.
  2. Estimated Delivery Time Disclaimer for Imported Equipment:
    Delivery times may vary due to public holidays (origin or destination), shipping line schedules, port workloads, and customs clearance procedures.
  3. We strive to meet estimated ETAs but appreciate your understanding of possible delays.

 

5. VALIDITY

  1. Quotation validity is 5 business day from the date issued unless otherwise stated.
  2. Please note that fluctuations in the rand-to-dollar exchange rate may have an impact on the quotation provided.
  3. Any significant changes in the currency rate could result in adjustments to the final price.

 

6. WARRANTY

  1. The equipment or machinery carries a 12-month warranty from the date of invoice or delivery (depending of which on comes first) .
  2. The warranty is valid only if installation is performed by a qualified electrician.
  3. Ensure to provide the operating manual to the qualified electrician.
  4. The qualified electrician must familiarize himself with the operating manual before installation in done.
  5. Warranty applies solely to defects in materials and workmanship.
  6. Any components found to be defective under warranty will be supplied free of cost to the client excluding delivery charges or labour (subjected to claim).
  7. The warranty will be void in cases of misuse, unauthorized modifications, or operation outside the product’s intended purpose.
  8. The warranty excludes any consequential loss, damage, or injury.
  9. Damages that occurs due to freight, off loading and unpacking of crates will not be covered by the warranty.
  10. The presence or processing of foreign objects or contaminants (such as stones, bolts, or debris) through the equipment will invalidate the warranty.
  11. Any disputes arising from or related to this warranty shall be governed by South African law and resolved under South African jurisdiction.
  12. Warranty excludes damage caused by:
  • Transport or moving of machinery
  • Incorrect installation by client
  • Negligence or poor maintenance
  • Operation by unqualified personnel
  • Use outside intended purpose

 

8. RETURNS

  1. Machines can be returned within 7 business days if not meeting requirements, subject to correct using of machines, macadamia size and moisture content.
  2. Return requires a completed Request for Return form with supporting videos/footage.
  3. Return approval is subject to inspection outcome.
  4. Repair, handling, and return shipping costs are deducted.
  5. Refunds exclude crating and delivery fees.
  6. No Returns on Special Manufactured equipment and machines.

 

9. DAMAGE LIABILITY

  1. The Nut Machine Company Pty Ltd and its installation team are not liable for consequential loss. Any liability, if deemed, is limited to the invoice amount.

 

10. COMPLETION DATES

  1. Deposits must be paid on time for project scheduling and resource allocation.
  2. Delays in deposits may affect delivery dates.
  3. Clients must inform us promptly of any third-party scheduling changes.
  4. Can be affected by suppliers’ short delivery, shortage of stock or any events out of our control.

 

11. QUALITY ASSURANCE

  1. Based on suppliers’ standard ISO 9001 quality assurance.
  2. Additional quality requirements or certification must be advised with quotation and will incur extra costs.
  3. Any inspections or quality checks needed, except our internal checking mechanism and test reports, the clients should be performed at their cost and responsibility before shipment.

12. FORCE MAJEURE

  1. We are not liable for delays or defaults caused by events beyond our control, including natural disasters, pandemics, strikes, riots, manufacturing machinery breakdowns, impossibility of delivery (such delay is due to unavailability of material), or similar events.
